Terms of Use

1. Introduction and Agreement

Welcome to Spillify, operated by PT Titik Raya Teknologi ("Spillify", "we", "us", or "our"). Spillify is a digital Brand Quest Hub that connects brands with everyday consumer advocates ("Spillers") who complete verified real-world quests and earn rewards.

These General Terms and Conditions ("Terms"), together with all applicable supplementary policies incorporated herein by reference, constitute a legally binding agreement between you and Spillify. By registering for an account, accessing, or using the Spillify platform, website, mobile application, or any associated services (collectively, the "Platform"), you confirm that you have read, understood, and agree to be bound by these Terms.

2. Definitions

"Platform" — The Spillify website, mobile application, software, and all associated services operated by PT Titik Raya Teknologi.

"Spiller" — A registered consumer advocate user who participates in Quests and earns Spiller Points and/or cash rewards.

"Brand" — Any company or individual that registers on the Platform to create and manage Quests.

"Quest" — A verified real-world campaign task created by a Brand and assigned to Spillers.

"Campaign" — A structured programme of one or more Quests organised by a Brand under a defined budget and timeline.

"Spiller Points" — The non-monetary, non-transferable reward currency issued by Spillify to Spillers.

"Verified Earnings" — Cash rewards due to a Spiller following successful completion and verification of a paid Quest.

"UGC" — User-Generated Content, including photos, videos, text, and reviews created by Spillers.

"Campaign Wallet" — The designated account into which Brands deposit campaign funds prior to a Campaign going live.

3. Platform Description

Spillify operates as an intermediary platform connecting Brands with Spillers. Spillify's role is limited to providing the infrastructure, tools, and verification mechanisms that facilitate the creation, execution, and completion of Quests. Spillify does not endorse any Brand, product, or service featured on the Platform.

Spillify is not a party to the commercial relationship between a Brand and a Spiller. Spillify acts as a payment intermediary solely for the purpose of collecting Brand campaign funds and disbursing Verified Earnings and rewards to eligible Spillers in accordance with these Terms.

4. Eligibility

To register and use the Platform, you must:

• Be at least 18 years of age (or 16–17 with parental consent — see Section 18);
• Have legal capacity to enter into a binding agreement under Indonesian law;
• Not have been previously suspended or permanently banned from the Platform;
• Provide accurate, truthful, and complete registration information;
• Not be prohibited by applicable law from using the Platform.

5. Account Registration and Security

To access the full functionality of the Platform, you must create an Account by completing the registration process. You are responsible for:

• Maintaining the confidentiality of your login credentials;
• All activities that occur under your Account;
• Promptly notifying Spillify at hello@spillify.io of any unauthorised access;
• Ensuring your Account details remain accurate and up to date.

Spillify reserves the right to suspend or terminate any Account that has been accessed by an unauthorised party or used in breach of these Terms.

6. Prohibited Conduct

You agree that you will not:

• Engage in any fraudulent, deceptive, or misleading activity;
• Create fake Accounts or submit false verification data;
• Reverse-engineer or attempt to derive the source code of the Platform;
• Introduce any virus, malware, or malicious code to the Platform;
• Harvest or scrape data from the Platform without written consent;
• Use automated bots or scripts to interact with the Platform;
• Post content that is defamatory, obscene, discriminatory, or illegal;
• Use the Platform for any purpose other than its intended purpose as a Brand Quest Hub.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SPILLIFY SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages;
• Any loss of revenue, profits, business, or data;
• Any misconduct, unethical practices, or illegal actions by any Spiller, Brand, or third party;
• Any dispute arising between a Brand and a Spiller;
• Any tax liability incurred by a Spiller or Brand.

Spillify's aggregate liability shall not exceed total fees paid by you in the three (3) months preceding the event.

IMPORTANT — NO LIABILITY FOR MISCONDUCT: Spillify expressly disclaims any liability for the misconduct, negligence, unethical behaviour, or illegal activities of any Spiller or Brand. Each party is solely responsible for their own conduct on the Platform.

8. Indemnification

You agree to indemnify, defend, and hold harmless Spillify and its directors, officers, employees, agents, and service providers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your breach of these Terms or any applicable law or regulation;
• Your use of the Platform, including the creation or submission of any Quest, Campaign, or UGC;
• Any claim that your content infringes third-party rights;
• Any fraudulent, negligent, or wilfully wrongful act or omission by you.

9. Modifications to Terms

Spillify reserves the right to modify, update, or replace any part of these Terms at any time and without prior notice. Changes will be posted on the Platform and take effect immediately upon posting. Your continued use of the Platform after any changes constitutes your acceptance of the revised Terms. Where changes are material, Spillify will make reasonable efforts to notify registered users via email or in-platform notification.

10. Termination

Spillify may suspend, restrict, or permanently terminate your access to the Platform at any time, with or without cause, and with or without notice, including for any breach of these Terms. Upon termination:

• All licences granted under these Terms immediately cease;
• Unredeemed Spiller Points will be forfeited;
• Confirmed Verified Earnings will be disbursed within the standard payment period.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Indonesia, including the ITE Law (No. 11/2008, as amended), the Consumer Protection Law (No. 8/1999), and the Personal Data Protection Law (No. 27/2022).

Any dispute shall first be referred to mediation through Spillify's internal dispute resolution process. Parties agree to negotiate in good faith for thirty (30) days. If mediation fails, disputes shall be submitted to the exclusive jurisdiction of the District Court of South Jakarta (Pengadilan Negeri Jakarta Selatan).
